directors and officers of companies, is examined in its Canadian and parti cularly in its Albertan context. This examination is conducted against the background of possible liabilities of directors at common law and under sta tute, and the ability of companies to indemnify their directors for such lia bilities. The clauses of and coverage provided by typical directors' and officers' liability policy are analyzed and the merits of such policy dis cussed in the context of its possible worth to corporation. This analysis will be of particular worth and interest to corporate lawyers employed in an advisory capacity by corporations.
