This note discusses a number of key issues developed by the Corporate Governance Project of the American Law Institute (ALI) and published in its report, The Principles of Corporate Governance: Analysis and Recommendations . This examination will focus on the socially and ethically important elements regarding the objective and conduct of the business corporation, and the twin fiduciary duties of care and fair dealing.
