Water Development Company (WDC), a public water utility, furnished water to several systems mostly outside the city limits of Des Moines, Iowa. James Lankford owned a home supplied with water by WDC. In 1981, he signed a contract with WDC to supply his household water for 50 years. In 1989, Des Moines annexed land through which WDC operated. The Des Moines Water Works (DMWW) proposed to purchase WDC's water mains and supply Lankford's water. When these negotiations collapsed, DMWW constructed parallel water mains and successfully solicited Lankford's business. WDC sued him for breach of contract and won.
