In this paper the G YARMATI 's governing principle of dissipative processes is applied to a continuous material system with reversible polarization, magnetization and irreversible electric conduction phenomena due to finite electrical conductivity. After the general treatment of governing principle and M AXWELL 's field equations the forms of the balances of internal energy and entropy are determined. The main new results are the recovering of the electromagnetic field equations from the actual form of the governing principle and the verification of gauge invariance property of it.
