Fick's law and Ohm's law are linear relationships of a macroscopic nature involving neutral and charged particles out of equilibrium. Their validity is examined by comparing the equation of motion which these laws represent with the Heisenberg equation of motion. Conditions that reduce the exact equation to the phenomenological equation are identified and their significance discussed.
