This study focuses on identifying, investigating and analyzing the criteria’s, and their inter relationship impacting a fund managers decision of private equity firms in India. We have used a sample of 63 private equity firms in India with identified criteria’s in the past studies. To analyze the result we have used principal component analysis in which we extracted 4 important factors like Product, Entrepreneur, Management team’s capability and finance. In multiple regressions result of the model is significant.s
