The article is of theoretical and empirical character. The main objective is to diagnose endo- and exogenous conditions of the entrepreneurial process of university spin-off companies in Poland. The objective implementation protocol of the study determined its structure. Its first part presents the most important theoretical concepts related to the presented issues. In particular, on the basis of the literature on the subject, analyses of the impact of individual endo- and exogenous conditions on the process of creating and functioning of the surveyed enterprises were made. Theoretical considerations provided the basis for the empirical presentation of the results of the author’s own research conducted in 2017 in Poland on 141 university spin-offs. The obtained results allowed the author to distinguish endo- and exogenous conditions of varying importance for the process of setting up and running university spin-offs in Poland.
