ABSTRAKÂ Melalui Program Ketenagalistrikan 35.000 MW, Pemerintah membuka peran swasta untuk dapat membangun proyek ketenagalistrikan dimana porsi swasta melalui Independent Power Producer sebesar 26.981 MW, dan sisanya merupakan porsi PT PLN (Persero). Independent Power Producer ("IPP") pada dasarnya adalah badan usaha swasta yang mayoritas merupakan hasil joint venture (perusahaan patungan) antara 2 (dua) perusahaan yang membentuk perusaahaan bertujuan khusus (Special Purpose Company) untuk membangun, mengoperasikan, menjual tenaga listrik kepada PLN, lalu menyerahkan seluruh aset kepada PLN sesuai dengan jangka waktu yang ditetapkan dalam Perjanjian. Lebih lanjut penelitian ini akan membahas keuntungan dari pembentukan Joint venture Company serta skema Joint venture dalam praktik pembangunan infrastruktur ketenagalistrikan. Metode penelitian yang penulis gunakan ialah yuridis normatif. Hasil penelitian ini menemukan bahwa belum ada hukum positif di Indonesia yang mengatur mengenai joint venture. Dalam praktiknya joint venture memiliki manfaat dan tidak menutup kemungkinan untuk menghasilkan permasalahan diantara para pihaknya. Dengan demikian, maka terbukalah kemungkinan joint venture agreement dimanfaatkan oleh pemegang saham pengendali yang semakin membatasi hak-hak pemegang saham minoritas. Kata Kunci: Joint Venture; Ketenagalistrikan; Pembangunan Infrastruktur; Penanaman Modal; Program KetenagalistrikanÂ ABSTRACTÂ Through the 35,000 MW Electricity Program, the Government opens the role of the private sector to be able to build electricity projects where the private portion through the Independent Power Producer is 26,981 MW, and the rest is the portion of PT PLN (Persero). Independent Power Producer ("IPP") is basically a private business entity, the majority of which is the result of a joint venture between 2 (two) companies that formed a special purpose company (Special Purpose Company) to build, operate, sell electricity to PLN, then hand over all assets to PLN in accordance with the time period specified in the Agreement. Furthermore, this research will discuss the advantages of the establishment of a Joint venture Company and the Joint venture scheme in the practice of electricity infrastructure development. The research method that I use is normative juridical. The results of this study found that there is no positive law in Indonesia that regulates joint ventures. In practice, the joint venture has benefits and does not rule out the possibility of generating problems among the parties. Thus, it opens up the possibility for the joint venture agreement to be used by the controlling shareholder which further limits the rights of minority shareholders.Keywords : Capital Investment; Electricity; Electricity Program; Infrastructure Development; Joint venture
