This paper was presented at a symposium on Modern Equity as a companion piece to one offered by Professor Lawrence G. Baxter entitled Fiduciary Issues in Banking Regulation. The paper extends Selden's famous metaphor of the chancellor's foot to a critique of novel theories of professional responsibility propounded by the Office of Thrift Supervision (OTS) in the early 1990's that threatened to expose banking and thrift institution lawyers to personal liability based on post hoc "duties" that those attorneys did not know they had and that were not, in fact, accepted by the bar under prevailing views of the Rules of Professional Conduct. Using the legend of Tristan and Yseult as a metaphor for duty to the sovereign, the paper identifies and explores the inevitable conflicts that would arise under the regime espoused by OTS which would have imposed "fiduciary" obligations from lawyers in private practice to the federal government that would be utterly at odds with those lawyers' professional obligations to their clients.
