This research is intended to analyze if the acquisition of a minority shareholding must be subject of the merger control by the Superintendence of Industry and if the veto rights constitute negative control in antitrust law. For the foregoing, this work has been divided into four chapters. The first chapter will briefly explain the Colombian merger review regime and the relevance of the concept of control. For its part, the second chapter will address the differences and scope of the concept of control in Colombian corporate law and in the antitrust law. The third chapter will address the concept of control in the two most outstanding regimes in competition law, the North American and the European, to establish the scope of the concept of control, the existence of the negative control and the possibility that veto rights constitute a negative control. Finally the fourth chapter will develop the veto rights as negative control in the Colombian competition law.
