The N-2θ-sector of the Lee-model is solved in the special case of the "dipol-ghost" , and a unitary S-matrix is constructed. A general instruction is presented to construct the physical subspace of the whole state space with indefinite metric. This method is always applicable, if there are couples of "good" and " bad" ghosts. Another model with positiv definite state space is described, which has the same S-matrix a s the Lee-model with "dipol-ghost' 2  in the N-θ-and N-2θ-sector.
